Acceptance of Terms

By accessing or using any Criterica website, platform, or service — including the Criterica Intelligence investor portal, the Criterica Capital partner portal, and any associated APIs or data products — you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use our services. These terms apply to all visitors, registered users, and institutional partners. Effective date: May 1, 2026.

Permitted Use

You may access and use Criterica's platforms solely for legitimate professional or institutional purposes, including evaluation of litigation finance investments, underwriting analysis, legal outcome research, and business relationship management. You may not use our services to build competing data products, to reverse engineer our models or databases, to harvest or scrape content from our platforms, or for any unlawful purpose. Access credentials are personal and non-transferable. You are responsible for all activity conducted under your account.

Intellectual Property

All content, data, models, software, marks, and infrastructure comprising the Criterica platform are the exclusive property of Criterica Group, Inc. and its licensors. This includes the Criterica name and Tangent Point mark; the proprietary court records database containing 106M+ real filed records across federal circuits, state courts, and international tribunals; 23,508 calibrated production outcome models trained on that database; all research, reports, model outputs, and written materials published through any Criterica product; and the Criterica Intelligence and Criterica Capital platform architectures. Unauthorized use, reproduction, distribution, or creation of derivative works is strictly prohibited without prior written consent.

Investor Portal Access

Access to the Criterica Intelligence investor portal is by invitation only and is subject to satisfaction of applicable investor qualification requirements. Access credentials and secure links are personal and non-transferable. You are responsible for maintaining the confidentiality of your access credentials. Criterica reserves the right to revoke access at any time without notice, including if we reasonably believe your access poses a security or compliance risk.

Confidentiality

All non-public information made available through any Criterica portal, including financial projections, model performance data, portfolio analytics, capital structure details, and proprietary research, is confidential and proprietary. You agree not to disclose, reproduce, distribute, or use such information for any purpose other than evaluating a business relationship with Criterica. This confidentiality obligation is not subject to a time limit and survives termination of your access.

Intelligence Outputs — Not Legal Advice

The Criterica Intelligence platform produces statistical outcome predictions, probability scores, and data analytics derived from historical court records. These outputs are research and decision-support tools for institutional and professional users. They are not legal advice, legal opinions, or representations about any specific case, matter, or party. Criterica is not a law firm and does not practice law. Users should not rely on platform outputs as a substitute for qualified legal counsel. Past model performance is not indicative of future results.

Capital Products — Not Investment Advice

Nothing on any Criterica website or within the Criterica Capital platform constitutes investment advice, a solicitation, or an offer to buy or sell any security or financial instrument. Information about capital products, advance structures, and portfolio finance strategies is provided for informational purposes to qualified institutional and professional counterparties. Criterica does not provide registered investment advice. All capital arrangements are subject to separate written agreements and applicable regulatory requirements.

Disclaimer of Warranties

The Criterica platform and all content, model outputs, and data products are provided "as is" and "as available" without warranty of any kind, express or implied. Criterica expressly disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free from harmful components, or that any prediction, score, or data output will be accurate, complete, or reliable for your intended purpose.

Limitation of Liability

To the maximum extent permitted by applicable law, Criterica Group, Inc., its affiliates, directors, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your access to or use of the platform, any model output or data product, any investment or capital decision made in reliance on platform outputs, or any interruption, suspension, or termination of service. In no event shall Criterica's aggregate liability to you exceed the amounts paid by you to Criterica in the twelve months preceding the claim.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of Criterica's services shall be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota. You consent to the personal jurisdiction of those courts and waive any objection to venue.

Changes to Terms

Criterica reserves the right to modify these Terms at any time. We will post updated Terms with a revised effective date. For material changes, we will provide notice to registered users via email or platform notification at least 14 days before the changes take effect. Continued use of any Criterica service after the effective date of any modification constitutes your acceptance of the revised Terms.

Termination

Criterica may suspend or terminate your access to any platform at any time, with or without cause, and with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease. Sections addressing intellectual property, confidentiality, limitation of liability, governing law, and any other provisions that by their nature should survive termination will survive.
